Acceptance of these terms
These Terms of Use ("Terms") govern your access to and use of harveysbusinesssolutions.com (the "Site"), operated by Harvey's Business Solutions LLC, a Georgia limited liability company ("Harvey's Business Solutions," "we," "us," or "our").
By accessing the Site or submitting a consultation request, you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern your use of the Site. Any services we perform for you are governed by a separate written engagement agreement between us. If an engagement agreement conflicts with these Terms, the engagement agreement controls for that engagement.
What we do and do not do
Harvey's Business Solutions LLC provides business consulting and administrative support services, including business formation support, business setup and administration, operational and growth consulting, and digital business solutions.
We are not a law firm, a CPA or accounting firm, a bank, a lender, a loan broker, a mortgage broker, an insurance producer, a credit repair organization, a credit services organization, an investment adviser, a securities broker-dealer, or a government agency, and we are not affiliated with or endorsed by any government agency.
We do not practice law, prepare or file tax returns, extend credit, arrange financing, open financial accounts on your behalf, dispute or repair consumer or business credit reports, or provide investment advice. Nothing on the Site should be read as an offer to do any of those things.
No legal, tax, or financial advice
All content on the Site, and all information we provide in consultations and engagements, is general business and administrative information. It is not legal advice, tax advice, accounting advice, or financial advice, and it is not a substitute for advice from an appropriately licensed professional who has reviewed your specific circumstances.
No attorney-client relationship, accountant-client relationship, or fiduciary relationship is created by using the Site, submitting a consultation request, or engaging our services. Where a matter requires licensed advice, we will say so and recommend you engage the appropriate professional.
No guarantee of outcomes
We assist with preparation, organization, and coordination. We do not control the decisions of any third party.
- Entity filings are approved, rejected, and scheduled by the state, not by us. Processing times are set by the filing office.
- Employer Identification Numbers are issued by the Internal Revenue Service directly to the responsible party you designate.
- Applications submitted to banks, payment processors, telecommunications providers, lenders, vendors, or any other institution are decided solely by that institution under its own criteria.
We make no representation, warranty, or guarantee regarding approval, timing, results, revenue, funding, creditworthiness, or business outcomes of any kind. Any example, illustration, or discussion of what a business might achieve is illustrative only and is not a promise of results.
Third-party providers
Some services involve coordination with independent third-party providers — including registered-agent providers, commercial business address providers, domain registrars, email and hosting providers, and similar vendors.
Where that is the case:
- The service contract is between you (or your business) and that provider, not with us.
- That provider's own terms, pricing, renewal schedule, and privacy policy govern the service.
- The provider may impose its own verification requirements, including identity verification and, for mail-receiving services, USPS Form 1583.
- We are not responsible for the acts, omissions, pricing changes, service interruptions, or discontinuation of any third-party provider.
Commercial business address services must be used only as a legitimate address for a real business. You may not use any address we help coordinate to misrepresent your location, evade legal process, or mislead any government agency, financial institution, or counterparty. Misuse is a material breach of these Terms and grounds for immediate termination.
Your responsibilities
You agree that:
- All information you provide to us is accurate, current, and complete, and you will update us promptly if it changes.
- You have the authority to act on behalf of any business you engage us for.
- You will use our services and any documents, filings, addresses, or accounts arising from them only for lawful business purposes.
- You are responsible for your own legal, tax, licensing, registration, and regulatory compliance obligations, including ongoing filings and renewals, whether or not we assisted with the initial setup.
- You will review any document prepared or organized with our assistance before it is signed, submitted, or relied upon.
We are entitled to rely on the information you give us. We are not responsible for consequences arising from information that is inaccurate, incomplete, or provided late.
Engagements, fees, and scope
Submitting a consultation request does not create a client relationship, does not obligate either of us, and does not commit us to accept the engagement. We may decline any request.
An engagement begins only when scope, deliverables, and fees are agreed in writing. Work outside an agreed scope requires a separate agreement. Fees, payment terms, and cancellation and refund terms are set out in the engagement agreement for that work, not on this Site.
Third-party costs — state filing fees, registered-agent fees, address service fees, domain and hosting charges — are separate from our fees and are set by those providers.
Acceptable use of the Site
You may not:
- Use the Site for any unlawful purpose or in violation of these Terms.
- Submit false, misleading, or impersonating information through any form on the Site.
- Send unsolicited commercial messages, spam, or automated submissions through the Site.
- Attempt to gain unauthorized access to the Site, its server, or any connected system.
- Introduce malware, or interfere with or disrupt the Site's operation or security.
- Scrape, harvest, or systematically extract Site content, or use automated means to access the Site excessively.
- Copy, reproduce, or republish Site content for commercial purposes without our written permission.
We may restrict or terminate access to the Site at any time, without notice, for conduct we reasonably believe violates these Terms.
Intellectual property
The Site and its contents — text, layout, design, graphics, the HBS monogram and wordmark, and the name Harvey's Business Solutions LLC — are owned by us or our licensors and are protected by intellectual property law. Nothing in these Terms transfers any ownership right to you.
You may view and print Site pages for your own non-commercial reference. Any other use, including reproduction, modification, distribution, framing, or creation of derivative works, requires our prior written permission.
Materials we prepare specifically for you during an engagement are addressed in that engagement agreement.
Site content and availability
We work to keep Site content accurate and current, but content may become outdated and may contain errors or omissions. We may change, suspend, or discontinue any part of the Site at any time without notice.
The Site may link to external websites for convenience. We do not endorse, control, or take responsibility for the content, accuracy, or practices of any site we do not operate.
Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or its server is free of harmful components.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HARVEY'S BUSINESS SOLUTIONS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Harvey's Business Solutions LLC and its members, officers, employees, and contractors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Site or our services, your breach of these Terms, your violation of any law or third-party right, or the inaccuracy of information you provided to us.
Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of those courts.
If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it.
Changes to these terms
We may revise these Terms at any time. The "Last updated" date at the top of this page reflects the current version. Continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms. Review this page periodically.
